In using this website and our software you are deemed to have read and agreed to the following terms and conditions:

The following terminology applies to these Terms of Service, Privacy Policy and Refund Policy and any or all Agreements: "Client", "You" and "Your" refers to you, the person accessing this website and/or using our software and accepting the Company's terms and conditions.

"The Company", “QwertyStock”, "Ourselves", “Our”, "We" and "Us" refers to our Company, QwertyStock Private Limited. "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves.

“Sites”, “Websites” refers to our internet site at www.qwertystock.com and other internet sites of QwertyStock, our Subsidiaries and our Resellers.

“Content” refers, individually and collectively, to any digital content, including photographs, illustrations, animations, films or video footages, music and other audio files, 3D models, data files, project files and templates, other audio/visual works or other material that you are downloading from or supplying to the Websites, together with any accompanying material and metadata.

All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products, in accordance with and subject to, prevailing English Law.

Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

  1. Privacy

    Your privacy is very important to us, which is why we've created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your private information.   2. Use of the Site

    By visiting the Websites and/or using Our software and accessing the information, resources, services, products, and tools we provide for you, either directly or indirectly (hereafter referred to as 'Resources'), you agree to use these Resources only for the purposes intended as permitted by (a) these Terms of Service, and (b) applicable laws, regulations and generally accepted online practices or guidelines.

    Wherein, you understand that:

    1. Age and Responsibility. You represent and warrant that you are of sufficient legal age to use the Sites and to create binding legal obligations for any liability you may incur as a result of the use of the Sites. You need to be 18 years or over to sign-up as a member. Upon registration, you will be required to create a password that will be associated with your member account. You are responsible for maintaining the confidentiality of the password and you agree to be responsible for all of your use of the Sites (as well as for use of your Member Account by others, including minors living with you). You agree to supervise all usage by minors of the Sites under your name or account. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Resources. You agree to (a) immediately notify QwertyStock of any unauthorized use of your password or account or any other breach of security, (b) defend, indemnify and hold harmless QwertyStock from any loss or damage arising from unauthorized use of your password or account.
    2. Prohibited Activities. Accessing (or attempting to access) any of our Resources by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Resources through any automated, unethical or unconventional means. Engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited. Attempting to copy, duplicate, reproduce, sell, trade, or resell our Resources is strictly prohibited. You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.
    3. Indemnification. You agree to indemnify and hold harmless the Websites (including, but not limited to QwertyStock.com) and their owner from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Service or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under these Terms and Conditions. In such an event, you shall provide us with such cooperation as is reasonably requested by us.
    4. Ownership. The Site is owned and operated by QwertyStock. All aspects of the Sites, including the design and “look and feel” thereof and all of the Content featured or displayed thereon, are owned by QwertyStock and/or its licensors and/or Content providers. All elements of the Sites, including the Content thereof are protected by trade, copyright, moral rights, trademark and other laws relating to property rights. Except as explicitly permitted under separate agreement with QwertyStock, no portion or element of any of the QwertyStock Sites or such Sites’ Content may be reproduced, distributed, modified, publicly performed or displayed, transmitted, reverse engineered, decompiled, sold, sublicensed or otherwise exploited via any means or in any way and the Site, the Content and all related rights shall remain the exclusive property of QwertyStock and/or its licensors and/or Content providers unless otherwise expressly agreed.
    5. Sample Usage. QwertyStock grants you a limited, non-transferable, nonexclusive license to (a) download watermarked content, (b) and to use the content and any derivative works or copies (collectively, the "Sample Content"). The Sample Content may only be copied, modified and incorporated in materials for sample use including comprehensive layouts or offline edit (“Comp Use”). The Sample Content may not be used in any final materials distributed internally or to the public. All other rights are reserved to QwertyStock. Other than the above Comp Use, Sample Content may not be used in any way. After you have purchased the Content and paid in full, the applicable License Agreement applies.
    6. Membership. You agree to: (a) provide true, accurate, current and complete information about yourself and your company, as prompted by the Sites’ registration form (such information being the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete.

    7. Prohibited Conduct. You agree that you will not use the Sites for any purpose that is unlawful or not permitted by these Terms of Service, including, you agree that when uploading to or communicating via the Sites, you shall not do any of the following:

      1. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy) of others.Publish, post, distribute or disseminate any defamatory, infringing, obscene, pornographic, sexual, indecent or unlawful material or information.
      2. Upload or otherwise transfer files that contain software or other material protected by intellectual property laws (or by rights of privacy or confidentiality) unless you own or control the rights thereto or have received all necessary consents.
      3. Upload or otherwise transfer files that contain viruses, corrupted files or any other similar software or programs that may damage or inhibit the operation of another computer.
      4. Delete any author attributions, legal notices, or proprietary designations or labels in any file that is uploaded.
      5. Falsify the origin or source of software or other material contained in a file that is uploaded.
      6. Advertise or offer to sell any goods or services or conduct or forward surveys, contests or chain letters.
      7. Download any file posted by another user of the Sites that you know, or reasonably should know, cannot be legally distributed in such manner.
      8. Use any communications or Content or other information obtained through the Sites in a manner that is competitive with the Sites.

      You also agree not to use the Sites in any manner that could damage, disable, overburden, or impair the Sites or interfere with any other party's use and enjoyment of the Sites. You also agree not to attempt to gain unauthorized access to any other QwertyStock member accounts, computer systems or networks associated with the Sites. You also agree not to obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Sites.

    8. Managing Content. QwertyStock does not and cannot review all communications or Content uploaded to the Sites and is not responsible for the content of such communications or Content. Notwithstanding the foregoing, QwertyStock reserves the right to delete, move or edit any communication or Content that it may determine, in its sole discretion, violates or may violate these Terms of Service or is otherwise unacceptable. You shall remain solely responsible for all communications made or Content uploaded under your Account. QwertyStock shall have the right but not the obligation to correct any errors or omissions in any Content, as it may determine in its sole discretion. You acknowledge that any screening of Content performed by QwertyStock to determine Accepted Content is done as a courtesy only.
    9. Confidential Information. While using the Sites, you may obtain Confidential information about us or another member, and you agree that during the term of these Terms of Service and thereafter you shall not, without the express written consent of QwertyStock, use or disclose to any other person any such Confidential Information, except as specifically authorized under these Terms of Service or as required by applicable law.
    10. Intellectual Property Infringement Claims. QwertyStock respects the intellectual property of others, and we ask our users to do the same. If you believe that a Content infringes an intellectual property right, including copyright, please notify QwertyStock at: legal@qwertystock.com.

  3. Limitation of Warranties

    By using our website and/or our software, you understand and agree that all Resources we provide are "as is" and "as available". This means that we do not represent or warrant to you that:

    1. the use of our Resources will meet your needs or requirements.
    2. the use of our Resources will be uninterrupted, timely, secure or free from errors.
    3. date and time of accessing the Sites or Services;
    4. the information or Content obtained by using our Resources will be accurate or reliable;
    5. the quality of any products, services, information, or other material purchased or obtained by you through the Websites shall meet your expectations;
    6. the Site of any Content is merchantable, fit for a particular purpose or does not infringe upon another’s rights, and
    7. any defects in the operation or functionality of any Resources we provide will be repaired or corrected.

    Furthermore, you understand and agree that:

    1. any content downloaded or otherwise obtained through the use of our Resources is done at your own discretion and risk, and that you are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content.
    2. no information or advice, whether expressed, implied, oral or written, obtained by you from the Websites or through any Resources we provide shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in these Terms of Service.

  4. Limitation of Liability

    In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that the Websites and their owner will not be liable for any direct, indirect, incidental, consequential, exemplary or punitive loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply. You acknowledge that your exclusive remedy for any defective Content is for QwertyStock to elect to either replace any defective Content or refund that portion of the purchase price to the defective Content. For all other claims, you acknowledge that your exclusive remedy is to cease using the Sites except as set forth in this paragraph, in no event shall QwertyStock liability exceed the amount you paid to Us, if any, for use of products and/or services.

    Some jurisdictions do not allow for the limitation of exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such jurisdictions, the liability of the QwertyStock Parties shall be limited to the greatest extent permitted by applicable law.

  5. Credit Attribution

    These Terms of Service are effective until terminated. If you wish to terminate these Terms of Service, you may simply discontinue using the Sites.

    You agree that We may, at Our sole discretion, suspend or terminate your access to all or part of the Websites and Resources with or without notice and for any reason, including, without limitation, breach of these Terms of Service. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources We provide will immediately cease, and We reserve the right to remove or delete any information that you may have on file with Us, including any account or login information. QwertyStock may change, suspend or discontinue all or any portion of the Sites at any time, including the availability of any feature, database, or Content, without prior notice or liability. Accessing the affected parts of the Sites after such termination, suspension or discontinuation shall constitute an act of trespass.

    QwertyStock shall not be liable to you or any third party for any termination or suspension of your access to the Sites.

    Cancellation of Membership does not relieve you of your responsibilities to pay any amounts due to QwertyStock under these Terms of Service. QwertyStock’s rights, defenses and limitations of liability provided under these Terms of Service and all non-membership clauses in these Terms of Service shall survive the cancellation of Membership.

  6. Terms of Payment

    All prices are based in Euro and converted to your selected currency, at a rate determined by us, which may include a conversion and/or processing fee for certain currencies. You are responsible for any currency conversion costs incurred. Prices, offers and products are subject to availability and may change.

    PayPal, WebMoney, bank cards and select cryptocurrencies are all acceptable methods of payment. If you choose to pay using a bank card, you will be redirected to a Payment Processor. Upon presentation of the bank card information the purchaser warrants that he/she is the cardholder and that the billing information provided is accurate. By approving the purchase of the product or service, you authorize QwertyStock to charge the designated credit card, or PayPal account, for the total amount of the purchase.

    Credits and Subscriptions purchased on QwertyStock Websites cannot be resold to another person or website, transferred for value or redeemed for cash, except to the extent required by law. Any download or any other use of QwertyStock Subscription shall be solely for specific and immediate use of such product by Licensee; warehousing of Content, aggregation, and any other mass downloading for potential future use is strictly prohibited.

    It is a breach of our website Terms of Service to utilize manual or automated software / scripts or bots, crawlers, spiders to mass download content, or to mass download content with the intention to copy, reproduce, modify, republish, upload, post, transmit, or distribute in any form or by any means whatsoever without prior written permission from us.

    In order to provide for a smooth download process and to ensure the best possible service to all QwertyStock users, QwertyStock may, at its sole discretion, restrict or limit downloads of content by you to a fixed number of total downloads of content per 24 hour period.

    You may download Content only in accordance with the terms of these Terms of Service and the applicable License Agreement.

  7. Refunds

    1. Based on QwertyStock’s refund policy, we will offer a refund within 30 days of purchase in the event:

      1. the product is not up to the specifications as described in the product page;
      2. the product is not of acceptable quality;
      3. you are unable to download your purchase.

    2. We will assess other refund requests based on their merits. There is no obligation to provide a refund in situations like the following:

      1. you have changed your mind about a product;
      2. you bought a product by mistake;
      3. you do not have sufficient expertise to use the product.

    3. All refunds will be done using the same payment method used to make the purchase. If the product was bought using QwertyStock Credits, you will be refunded in QwertyStock Credits; if the product was bought using a particular payment method, you will be refunded using the same payment method.

  8. Contributing to QwertyStock

    1. Registration. To start contributing Content to QwertyStock, you need to (a) register as an Artist, and (b) accept the terms in our Contributor Agreement.
    2. Uploading Digital Assets. In consideration of uploading digital assets on the Sites, you agree that you own the copyright to all digital assets which you upload. The copyright of all digital assets uploaded by you is retained by you. You warrant that the digital assets do not violate any laws, do not depict the violation of any laws, are not offensive or intended to harass, threaten or cause discomfort to any person or entity, and do not contain anything that is sexually explicit. You warrant that you possess physical copies of signed talent or property releases and you warrant that the information contained in such releases is authentic, complete and accurate.

  9. Log Files

    We use IP addresses to analyze trends, administer the site, track user's mouse movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

  10. Links

    If you do create a link to a page of the Websites you do so at your own risk and the exclusions and limitations set out above will apply to your use of this website by linking to it. You are not permitted to link directly to any image hosted on the Sites, such as using an "in-line" linking method to cause the image hosted by us to be displayed on another website. You agree not to link to our Sites in any manner such that any page of our Sites is "framed," surrounded or obfuscated by any third party content, materials or branding. We reserve the right to insist that any link to our Sites be discontinued, and to revoke your right to link to our Sites.

    The Sites may contain links to Third-Party Sites. We have no control or responsibility over or endorse anything on any Third Party Site. We are not liable for any loss or claim that you may have against any Third Party Site.

  11. Force Majeure

    Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavors to comply with the terms and conditions of any agreement contained herein.

  12. Miscellaneous Provisions

    1. No Waiver. No action of QwertyStock, other than express written waiver, may be construed as a waiver of any provision of these Terms of Service. A delay on the part of QwertyStock in the exercise of its rights or remedies will not operate as a waiver of such rights or remedies. A waiver of a right or remedy on any one occasion will not be construed as a bar to or waiver of those rights or remedies on any other occasion.
    2. Entire Agreement. Unless otherwise specified herein, these Terms of Service constitute the entire agreement between you and QwertyStock with respect to the Sites and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and QwertyStock with respect to the Sites.
    3. Third party: If you are agreeing to these terms on behalf of someone else (like your employer), you represent and warrant that you have full legal authority to bind that third party.
    4. Survival: Any provisions that by their sense and context are intended to survive the termination of these Terms of Service shall survive such termination. Any cause of action that QwertyStock may have against you for breach of these Terms of Service prior to the date of termination shall survive such termination.
    5. Severability: If any term or provision of these Terms of Service is determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part thereof shall be stricken from these Terms of Service, and such provision shall not affect the legality, enforceability, or validity of the remainder of these Terms of Service. If any provision or part thereof of these Terms of Service is stricken in accordance with the provisions of this section, then this stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.
    6. Interpretation: Words like ‘include’ and ‘including’ are not words of limitation and where anything is within our discretion we mean our sole discretion.
    7. Choice of Law: These Terms of Service will be governed in all respects by the laws of the Republic of Singapore, without reference to its laws relating to conflicts of law. We shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against you in the event that, in our opinion, such action is necessary or desirable.
    8. Language of the Terms: Where QwertyStock has provided you with a translation of the English language version of the Terms, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with us. If there is any contradiction between what the English language version of the Terms says and what a translation says, then the English language version shall take precedence.
    9. Changes to Terms: QwertyStock reserves the right, in its discretion, to modify these Terms of Service at any time, effective immediately upon notice published on the Site. Your continued use of the Sites after such notice constitutes your binding acceptance of these Terms of Service, including any modifications made by us as permitted above. If at any time the terms and conditions in these Terms of Service are no longer acceptable to you, you should immediately cease use of the Sites.
